The Employee shall not, at any time, use any 
Confidential Information, or permit or assist 
any third party to use any Confidential 
Information, to attract employees or any of 
the  Company’s customers or clients away 
from the Company or to procure a 
commercial advantage over the Company or 
in any way which is likely to be directly or 
indirectly detrimental to the Company or its 
businesses.

Upon termination of the Employee’s 
employment with the Employer, the 
Employee shall deliver up to the Employer 
all documents and property of the Company 
in his possession or under his control and 
including but not necessarily limited to 
drawings, reports, manual, correspondence, 
customer 

lists, 

customer 

programs, 

computer discs, memory stick and all other 
materials and media and all copies thereof 
relating in any way to the Company’s 
business, or in any way obtained by the 
Employee during the course of the 
employment. The Employee shall  also 
deliver up to  the Employer all computers, 
keys, clock in cards, business cards, and any 
other documentation belonging to the 
Company and /or furnished to the 
Employee, and/or prepared and/or obtained 
by the Employee in the course of his 
employment with the Employer and/or 
relating to its business, customers, clients, 
employees or affairs.

The Employee gives a fidelity undertaking 
to the Employer and shall at all times work 
solely for the interest of the Company. In the 
event this undertaking is not observed by 
the Employee, the latter shall indemnify the
